A minority shareholder of the firm, brought a claim to the court against the firm challenging the shareholders’ decision to increase the company’s authorised capital. The shareholder of the company asked the court to apply interim measures and to suspend the implementation of the decision. The court, after assessing the arguments we made, rejected the request to apply interim measures.
The court stated that the application for annulment by the court of the decision to increase the authorised capital, where the shareholder himself voted in ‘FAVOUR’ of such a decision and on the basis of which the subscription agreements for shares have already been concluded, did not justify interim measures.
Due to beneficial result to the client, the client will be able to continue the planned development.
